ACCEPTANCE (JOINING AS A MEMBER)
3.1 A member adheres to the Contract by completing two actions:

3.1.1 Completing on the website, accurately and in full, the online form GLOBAL NGOS & CLUBS – The Global Development Alliance (the GDA Form) or any other form posted on the website and current on the date of payment.

3.1.2 Making payment of the membership fee for the selected package (or a confirmed sponsor payment) to WESIO.

3.2 From the moment confirmation of successful submission of the GDA Form and payment is received, the membership contract between the member and WWC (WESIO) is deemed automatically concluded.

3.3 Electronic acceptance. Completing the actions described in clauses 3.1.1 and 3.1.2 is deemed the member’s electronic acceptance and electronic signature (where permitted by law).

3.4 Acknowledgement upon payment. The payment referred to in clause 3.1.2 confirms accession to the Contract on its terms.

Preamble

The full name of the operator: WORLD WOMAN International Successful Woman Club.
The applied names of the operator: WORLD WOMAN CLUB or WWC.

WORLD WOMAN CLUB is a global initiative managed by World Education, Science and Innovation Organisation LIMITED (Company number: SC752638, Scotland, United Kingdom) (WESIO).

Legal status of WWC.
WWC is a structural unit of WESIO and operates on the basis of WESIO’s internal decisions, orders, policies, rules, programmes and other documents.

WWC, as a global initiative, is open to public discussion of its statutory aims and objectives, which any WWC member may initiate at the Assembly. The Assembly is convened at the initiative of WWC’s governing bodies and is an advisory body of WWC and WESIO.

Applicable law and jurisdiction.
This contract and any non-contractual obligations are governed by and construed in accordance with the laws of Scotland.
The courts of Scotland shall have exclusive jurisdiction.

Language.
The English version governs. Versions in other languages are provided for convenience only.

1. Subject and Parties

1.1 This public offer (the Contract, the Offer) sets the terms of membership in WWC.

1.2 Under this Contract, membership services and related benefits are provided by WESIO, acting through its structural unit WWC (without a separate legal personality).

1.3 Any reference to “WWC” in this text means WESIO acting through its WWC unit.

2. Relationship between WESIO and WWC

2.1 The operator and contracting party under this Contract is WESIO.

2.2 All contracts, receipts and payments are carried out by WESIO. WWC does not accept payments in its own name.

2.3 WWC is the programme and brand under which WESIO provides membership services, events and projects; legal, financial and compliance responsibility remains with WESIO.

3. Acceptance (joining as a member)

3.1 A member adheres to the Contract by completing two actions:

3.1.1 Completing on the website, accurately and in full, the online form GLOBAL NGOS & CLUBS – The Global Development Alliance (the GDA Form) or any other form posted on the website and current on the date of payment.

3.1.2 Making payment of the membership fee for the selected package (or a confirmed sponsor payment) to WESIO.

3.4 Acknowledgement upon payment. The payment referred to in clause 3.1.2 confirms accession to the Contract on its terms and signifies consent to the following member statement:

“By making the payment, I confirm that I have fully read this contract and all its annexes. I accept these terms and undertake to comply with them.
I understand that I must independently retain the full text of this contract as justification for my financial and legal reporting.
I agree that, upon receiving a notice from WWC of changes to this contract, I must familiarise myself with them and, if I disagree, within 10 days of receiving the notice, inform WWC of my decision. If I do not notify WWC (WESIO) of my disagreement with the changes within 10 days, this shall be deemed my consent to the changes made by WWC (WESIO).
I understand that I may use the ‘Member of WWC’ sign only to denote my current membership and that any commercial or non-WWC-related use requires prior written permission from WWC Headquarters (United Kingdom), in accordance with section 5.4 and section 9 of this Offer.”


4. Packages, Club Year, Fees, Membership Content

4.1 Club Year: from 1 October to 30 September inclusive.

4.2 Packages: the composition and benefits are set out in Annex A and on the website, updated periodically.

4.3 Payment: made to WESIO using the methods indicated on the website; where necessary, receipts/invoices are issued by WESIO.

4.4 Pro-rata/late fee: pro-rata rules and, where applicable, a late fee (e.g., £50) apply — see Annex B.

4.5 Auto-renewal (optional): if enabled, membership renews from 1 October; it may be disabled in the member account or by written notice before the renewal date.

4.6 Membership Content:

4.6.1 Included: access to WWC programmes, events and community according to the selected package; communications and announcements; participation in initiatives; member resources described on the website and in Annex A.

4.6.2 Not included: any shareholding or corporate rights in WESIO/WWC, voting rights in WESIO’s corporate bodies, or any automatic licence to use trade marks/brand, organisational or business model beyond the limited “Member of WWC” display provided in sections 5.4 and 9.

4.1.3 No automatic right to organise representations. The Ambassador or Associated Member status may give the opportunity to organise a representation only on the basis of separately signed agreements — see section 17.

5. Member Obligations and Conduct Standards

5.1 The member undertakes to comply with the public policies: Website Terms, Privacy Policy (UK GDPR), Refund & Cancellation Policy, Code of Conduct, Safeguarding/Anti-harassment Policy, Brand & IP Policy, Event Participation Terms, Media & Publications Policy.

5.2 The member provides accurate data in the GDA Form and promptly updates contact information.

5.3 The member must not mislead as to endorsement/partnership by WESIO/WWC without written consent.

5.4 “Member of WWC” sign and limitations.

5.4.1 Display of the official “Member of WWC” sign is permitted solely to truthfully indicate current membership status on non-commercial media (personal website/profile, CV, e-mail signature, business card), using the official, unmodified artwork and in compliance with the Brand & IP Policy.

5.4.2 Any commercial use, promotional use, or use not directly connected with participation in WWC programmes is prohibited without prior written permission from WWC Headquarters (United Kingdom).

5.5 Community standards.

  • Comply with the Code of Conduct and Safeguarding policy.
  • Respect other members, speakers and partners.
  • Avoid any forms of discrimination and inappropriate communications.

6. Obligations of WWC (WESIO)

6.1 WESIO provides access and benefits according to the member’s package, exercises reasonable care and skill, and maintains online resources within reasonable availability.

6.2 Reasonable adjustments to formats/schedules/speakers are permitted while preserving the substance of member value.

7. Term, Upgrade, Suspension and Termination

7.1 Term: from acceptance (section 3) until the end of the Club Year (or earlier in accordance with the Contract). Pro-rata may apply — see Annex B.

7.2 Upgrade to a higher-priced status is effected with a surcharge. The calculation is based on a member’s request submitted to the head office.
A downgrade to a cheaper tariff is not provided.
In case of withdrawal from WWC membership or expulsion by decision of the governing bodies, a refund is not provided.

7.3 Suspension/termination by WESIO: for material breaches (non-payment, serious Code violations, brand misuse, unlawful actions) — with notice specifying reasons and effective date.

7.4 Termination at member’s initiative: by notice; refunds — under the Refund & Cancellation Policy.

7.5 Consequences of termination: access and brand/licence permissions cease.

8. Events and Education

8.1 Participation is governed by the Event Participation Terms and specific event conditions (health and safety, media consents, venue rules).
8.2 Some events may require additional registration fees; benefits/discounts are indicated on the event page.

8.1 Essentials of Event Participation

8.1.1 Access depends on the package, availability and rules of the specific event.

8.1.2 Changes of dates/speakers/formats may occur for legitimate reasons; refunds/transfers — under the Refund & Cancellation Policy.

8.1.3 Compliance with safety requirements and the Media & Publications Policy is mandatory; where feasible, non-essential media recording may be declined by prior notice.

9. Intellectual Property and Media

9.1 All trade marks, logos, designs and content are owned or controlled by WESIO.

9.2 By attending events, a member may be photographed/recorded; reasonable non-commercial use of image/voice for WWC coverage is permitted unless otherwise agreed in writing before the event.

9.3 Limited right to display “Member of WWC”.

9.3.1 The permission is limited, revocable, non-exclusive and non-transferable; only the official, unmodified artwork is allowed; combining with other marks into a composite logo is not permitted; a clear qualifier “Member of WWC” must always be included; creating the impression of endorsement/sponsorship/partnership by WWC/WESIO is prohibited.

9.4 Prohibited placements without written consent.

  • Company/product/app names/domains/accounts.
  • Advertising, commercial presentations, investor pitch-decks.
  • Products/packaging/labelling.
  • Event promotion where the event is not organised by WWC or WWC is not an official partner.
9.5 Commercial or non-WWC-related use — only with prior written permission from WWC Headquarters (United Kingdom).

9.6 Revocation and removal. Permission may be revoked; upon membership termination or upon written request, use must cease and materials must be removed within 48 hours.

9.7 Priority of policies. These rules apply together with the Brand & IP Policy. In a conflict, the Brand & IP Policy prevails.

10. Liability and Disclaimers

10.1 WESIO is not liable for indirect/consequential losses; limitations do not apply where prohibited by law.

10.2 Services are provided with reasonable care and skill; specific outcomes (career, business, reach) are not guaranteed.

11.1 The current versions of the following documents published on the website form part of this Contract:

  • Refund & Cancellation Policy.

11.2 The latest published versions of the above documents apply, together with governance materials provided to members under section 16.

11.3 For matters of representations and brand use, see sections 5.4, 9 and 17.

12. Consumers, Cooling-off, Refunds

12.1 If the member is a consumer, mandatory consumer protection rules apply (including any cooling-off period under applicable law).

12.2 Where immediate access to benefits is requested via the GDA Form, services may begin before the cooling-off period ends; refunds are determined for unprovided services under law and the Refund & Cancellation Policy.

12.3 Refunds for membership and events are governed by the Refund & Cancellation Policy.

13. Data Protection (UK GDPR)

13.1 The data controller is WESIO. Personal data submitted via the GDA Form are processed under the Privacy Policy.

13.2 Data subject rights are exercised in the manner described in the Privacy Policy.

14. Changes to the Contract

14.1 WESIO may update the Contract and Policies for legal/programme/operational reasons; the current version on the website applies to new/renewed memberships.

14.2 Material changes during a paid period will be communicated; if the member reasonably objects, the member may terminate membership (refunds — under the Refund & Cancellation Policy).

15. Notices and Contact

15.1 Official notices are sent to the e-mail indicated on the website’s Contacts page, or via the member account (if available).

15.2 These contacts may be used by the member to request governance information (section 16).

15.3 Please indicate full name/entity name, package, and relevant payment/membership identifiers.

16. Governance, Structure and Information Access

16.1 Bodies and executive structure.
WWC operates through the WWC Council (a collegial management/advisory body chaired by the President of WWC), the Assembly (an advisory forum of leaders and Ambassadors), and standing committees (e.g., Nominations, Ethics & Integrity).

Direct management of WWC is carried out by the following executive bodies:

President of WWC
The leader of WWC. Sets the agenda and team, chairs the WWC Council, represents the Club externally, is responsible for the strategy of network growth and the quality of programmes.

Vice Presidents of WWC
Heads of directions/regions. Deputise for the President, run operational tracks and coordinate the work of departments/representations.

WWC Executive Departments
Full-fledged functional units responsible for WWC’s operations and services:

  • Development Department. Membership growth, partnerships, ecosystem development programmes and launching new lines.
  • Finance Department. Budgets, accounting of fees and events, grant calculations, reporting to WESIO.
  • Events Department. Planning and delivering offline/online events, safety and quality standards.
  • Administrative Services Department. Document flow, internal services for members/ambassadors, helpdesk.
  • Marketing, Design & Advertising Department. Branding, design, campaigns, promotional materials and digital assets.
  • Legal Department. Offers, agreements, compliance, IP/trade marks, local requirements.
  • Web Administration Department. Websites/subdomains, content management, baseline SEO, uptime.
  • IT & Systems Administration Department. Infrastructure, access, security, integrations.
  • Media & Publications Department. PR, press office, editorial, print and digital publications.
  • Education Department. Educational programmes, courses, certification, methodological standards.
  • External Relations Department. International contacts, GDA partnerships, relations with institutions/grantors.
  • Logistics Department. Logistics for events and projects, procurement, international shipments.

16.2 Key definitions and concepts of WWC.

WWC Assembly (advisory body)
A forum of leaders and key members. Discusses strategy and priorities, provides recommendations. Advisory format: decisions become binding after approval by the WWC Council/authorised officers.

WWC Council (collegial advisory body)
A management collegium (President, Vice Presidents, appointed/elected members). Approves plans, clarifies principles and forms of cooperation across the network, organises external relations and internal communications, reports to the Assembly on development directions, increases engagement and education of members, shapes and supervises ethical relations, mediates disputes, nominates candidates for awards to the Nominations Committee, refers matters to the Ethics Committee, represents WWC at high-level international events and initiates the creation of new representations.

WWC Nominations Committee
Selection and recommendation procedures for appointments (Ambassadors, chairs, awards). Ensures transparency and compliance with criteria.

WWC Ethics & Integrity Committee
Considers issues of ethics, conflicts of interest and conduct; recommends disciplinary measures and restorative practices.

Honorary Members of WWC
A status recognising exceptional contribution; advisory role, participation in key events; conditions as per the policy on honorary members.

WWC Ambassadors
Leaders of territories/clusters. Launch and run representations, develop membership and programmes, publicly represent WWC in the region.

Individual Members of WWC
The main category of participants. Access to services and educational/event programmes subject to the Code and membership terms.

Corporate / Associate Members
Companies/organisations — partners of the network. Cooperate via MoU/agreements, receive package benefits, use the brand under licence.

WWC Representations / Chapters (without a separate legal personality)
Local WWC units led by Ambassadors. Operate under delegated authority and a WESIO brand licence, report to the central office.

WWC Associated Representatives
Partner venues/organisations under MoU/agreements. Support WWC events and programmes, comply with brand and reporting standards; may operate jointly with local Chapters.

WWC Official Representative Offices
WESIO’s own branches or branches of other affiliated Global Development Alliance/WESIO structures. Operate as “official” points of presence with extended powers and a formalised operating model.

Development & Support Programmes
Long-term growth initiatives (mentoring, leadership schools, grant lines, acceleration). Managed under programme regulations.

Projects & Philanthropy / Grants
Project streams and charitable activities; transparent budgeting and reporting; interaction with grantors and partners.

WWC Events (offline/online)
Club and public events. Governed by rules of participation, refunds, Code of Conduct, media policy and safety requirements.

16.3 Open rules and policies.
Most non-confidential information is published as public rules and policies on the website or provided upon request.

16.4 Internal governance materials.
Full information on corporate principles, bodies, executive structure, meetings/quorums/minutes, matrix of authorities and delegation, conflicts of interest and ethics, document flow and records is provided to valid members upon request, subject to level-based access and confidentiality (including NDAs) aligned to the membership package and collaboration format.

16.5 Transparency and prudent disclosure.
WWC/WESIO strive for maximum openness prior to a decision to join and provide sufficient information for an informed choice, while reserving the right to determine the degree of openness, taking into account confidentiality, trade secrets and legitimate interests.

16.6 Priority and language.
In case of conflict between public website materials and internal governance documents, the internal instruments approved by WESIO prevail; for interpretation, the English version prevails.

17. Representations (Ambassador / Associated Member)

17.1 No automatic licence/franchise.
Membership alone does not grant the right to organise/run a WWC representation (Chapter/Representative Office/Associated Representative), to use trade marks/brand assets/know-how or the organisational/business model beyond the limits of sections 5.4 and 9.

17.2 Ambassador or Associated Member status as a basis for eligibility.
These statuses, granted by WWC/WESIO on the basis of separate written agreements, may provide the opportunity to organise a representation in a defined territory/format.

17.3 Separate document package (mandatory).
Organisation of any representation requires signing and complying with a separate package of documents:

  • personal/organisational NDAs;
  • licence or franchise agreements for limited use of WWC/WESIO trade marks and brand assets;
  • agreements for limited use of the organisational and business model, guides/manuals and other elements of the Complex of Exclusive Rights (CER);
  • compliance with the Brand & IP Policy and the Policy on Representations (Chapters/Associated/Official);
  • confirmations of compliance with local law and insurance requirements;
  • other documents as required by WESIO/WWC (including data protection addenda, platform terms).
17.4 Approvals and control.
Any licence/franchise/permission is at WESIO’s discretion, may be time-limited, non-exclusive, subject to quality control, audits and KPIs; it may be suspended/withdrawn for breaches/risks/non-compliance.

17.5 Scope and territory.
The scope of rights, territory, digital assets, media permissions, commercial terms and reporting are defined exclusively in the signed licence/franchise/representation agreements and related policies.

17.6 Priority.
In case of discrepancies between this Contract and signed licence/franchise/representation agreements, the signed agreements prevail for their term.

18. Definitions

18.1 “Member” — a person/organisation that has adhered to the Contract by submitting the GDA Form and payment, and holds an active membership.

18.2 “Package” — a membership level with defined benefits (see Annex A and the website).

18.3 “Club Year” — the period from 1 October to 30 September.

18.4 “WWC Bodies” — the WWC Council, WWC Assembly and Committees (including Nominations; Ethics & Integrity).

18.5 “Departments” — the executive units listed in clause 16.1.

18.6 “Complex of Exclusive Rights (CER)” — protected WWC/WESIO assets: trade marks/logos/brand guidelines, designs, copyrighted works, organisational and business model, processes/SOPs, guides/manuals, know-how, databases, software and digital assets, and related confidential documentation.

18.7 “‘Member of WWC’ sign/‘Member Badge’” — the official, unmodified graphic sign used to truthfully indicate current membership subject to section 9 and the Brand & IP Policy.

Annex A. Packages and Benefits (template)

A.1 The list of packages and their benefits is published on the WWC/WESIO website and may be updated.

A.2 Sample structure of benefits:

  • Ambassador — leadership role; premium access; public speaking/hosting; partner introductions; ambassador toolkit; priority seating.
  • Bosswoman — full set of benefits; priority registration; mentoring circles; access to the member directory.
  • Influencer — core benefits; selected events; online community; knowledge base.
  • United — entry-level access; news; selected online sessions.
  • Corporate/Associate Member — organisational benefits; partner visibility; limited brand mentions under the Brand & IP Policy.
  • Honorary Member — honorary status; ceremonial participation (fee per separate rules, if applicable).

Annex B. Fees and Pro-rata (template)

B.1 Club Year: 1 October — 30 September.

B.2 Annual fees (GBP):

  • Joining 1 September — 30 September: payment of 100% (full annual membership of the remainder of the current year and the next club year / entitles to all loyalty programmes of the current and the next club year).
B.4 Late fee for existing members: £50 for renewal after 30 September.

B.5 Payment methods: Payment on the website to WESIO.

B.6 Receipts/invoices: issued by WESIO; membership is personal and non-transferable unless otherwise provided.
